If a Dispute is not resolved through the initial resolution process described in Section 15.1, it shall be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and Mediation Procedures then in effect. The arbitration shall be:

  • Conducted in Atlanta, Georgia.
  • Decided by a single arbitrator selected in accordance with AAA procedures.
  • Conducted on an individual basis only, and not as a class, consolidated, or representative proceeding.
  • Conducted in the English language.
  • Kept confidential by both parties, including all filings, evidence, and awards, except as may be necessary to confirm or enforce an arbitration award or as otherwise required by law.

Delegation. The parties agree that the arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable. The arbitrator's authority to resolve such Disputes includes, but is not limited to, challenges to the existence, scope, or validity of this arbitration agreement.

Cost Allocation. Each party shall bear its own attorneys' fees and costs incurred in connection with the arbitration. The AAA filing fees and the arbitrator's fees and expenses shall be allocated in accordance with the AAA Commercial Arbitration Rules, except that if you demonstrate that such costs would be prohibitive compared to the costs of litigation, Crest Capital will pay as much of the filing fees and arbitrator's fees and expenses as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive.

Arbitrator's Authority. The arbitrator shall have the authority to grant any remedy that would otherwise be available in court, provided that the arbitrator's authority is limited to Disputes between the parties individually. The arbitrator may award declaratory or injunctive relief only in favor of the party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. Any award rendered by the arbitrator shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction in the State of Georgia.

15.3 Class Action Waiver

ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU AND CREST CAPITAL EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING OF ANY KIND, WHETHER IN ARBITRATION OR IN COURT. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONDUCT ANY PROCEEDING ON A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE BASIS.

15.4 Commercial Entity Requirement

All Disputes must be brought solely in the name of, and on behalf of, a commercial business entity. Any individual accessing or using the Website does so exclusively in their capacity as an authorized representative of a commercial business entity, and not in any personal, consumer, or individual capacity. You expressly waive any right to bring a Dispute as an individual consumer.

15.5 Injunctive Relief Exception

Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction to prevent irreparable harm, preserve the status quo, or address intellectual property infringement, pending final resolution through arbitration. Any such court proceeding shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Georgia.

15.6 Survival

This Section 15 shall survive the expiration, termination, or cancellation of these Terms and the cessation of your use of or access to the Website, and shall remain in full force and effect with respect to any Dispute arising out of or relating to these Terms or your use of the Website, regardless of when the Dispute arises.

16. Termination

Crest Capital reserves the right, in its sole discretion, to terminate your access to the Website or any services, without notice, if you violate these Terms or engage in conduct deemed harmful to Crest Capital or other users. Any unauthorized use or violation of these Terms will automatically result in termination of your right to access the Website.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles. You agree to the exclusive jurisdiction of Georgia courts for any disputes not subject to arbitration.

18. Time Limitation

Any claim arising out of or relating to a breach of these Terms must be commenced within one (1) year after the date on which the claim accrued. Any such claim not brought within this one-year period is permanently barred. This limitation does not apply to any claim where a shorter or longer limitations period is mandated by applicable law that cannot be modified by agreement of the parties.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

20. Privacy Policy

21. Entire Agreement

22. Assignment

The failure of Crest Capital to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver by Crest Capital must be in writing and signed by an authorized representative of Crest Capital to be effective.
